Lola,

     Due to the major rewrite of the A.S.C.A. By-laws, it became necessary to rewrite the
current By-laws of the Cascade Australian Shepherd Club.  As a result, we have chosen to adopt
the A.S.C.A. By-laws as written, and submit the following addendum to be attached,  Should this
causes a problem, please let me know, and we will adjust as necessary.

Bylaws of the
Cascade Australian Shepherd Club
A Nonprofit Club affiliated with
The Australian Shepherd Club of America

Article I - Definitions and Terminology

The affiliate club will be named the Cascade Australian Shepherd Club.

Article II - Objectives

The objectives of the Cascade Australian Shepherd Club  (C.A.S.C.) are Consistent with A.S.C.A.
By-laws Article II, without exception.

Article III - Offices

The C.A.S.C. affiliate address will remain with in the Sate of Washington.

Article IV - Memberships

The membership criteria of the C.A.S.C. is consistent with A.S.C.A. By-laws Article IV, with the
following exceptions:

              A.     All Applications for membership will be in writing and will be submitted to the club Board
                       of Directors prior to being voted on by the current Club membership at the next scheduled
                       Club meeting.  Acceptance requires two-thirds of the voting members present approval.

              B.     Annual dues are $10.00 for a single voting membership, $12.50 for a dual membership, and
                      $3.00 for a nonvoting Junior membership.

                      1. Membership dues are effective January 1 of each calendar year.  The club Secretary will
                          notify each member in writing by December 1st of each calendar year.

Article V - Meetings of the membership

The meetings criteria of the C.A.S.C. is consistent with A.S.C.A. By-laws Article V, with the following exception:

             A.     The C.A.S.C. annual meeting will be held at such place identified as acceptable to the Club
                      Board of  Directors.  This meeting will occur between September 1 and December 31, with
                      notification of the Club membership at least 10 calendar days in advance by the Club
                      Secretary.

Article VI - Voting

The objectives of the Cascade Australian Shepherd Club  (C.A.S.A.) are consistent with A.S.C.A. By-laws
Article VI, with the following exceptions:

            A.     Nominations will be taken from the membership during October of each year.  Written ballots
                     will be sent to the Address of each member in good standing before the 5th day of November,
                     to be returned to the Club Secretary by no later than November 20 to be counted.
                     The Secretary will then tabulate the voting results by December 1, and inform the Club Board
                     of Directors,  in writing as to the results before December 5.  The Club Secretary will then
                     notify the membership.

Article VII - Board Of Directors

The objectives of C.A.S.C. are consistent with A.S.C.A. by-laws Article VII, with the following exceptions:

           A.     Club members elected to the Board of Directors are required to have actively participated in
                    club activities during the prior calendar year.

           B.     A director must be a current member of the Club, and must have been a voting member for at
                    least two years prior to their election to the Board.

           C.     Expenses for Board member involvement at official Club functions will not be reimbursed.

Article VIII - Officers

The objectives of C.A.S.C. are consistent with A.S.C.A. by-laws Article VIII, with the following exceptions:

          A.     No Club member may hold more than two elected positions with the Club at any time during
                   the calendar year.
